Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you", or "your") and Marshanam Pvt. Ltd. ("Company", "we", "our", or "us") governing your access to and use of the Marshanam web application, WhatsApp Business API integration, and all associated services (collectively, the "Service").

You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. If using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

2. Description of service

Marshanam provides a cloud-based SaaS platform that enables businesses to manage customer inquiries through WhatsApp and website-based chat channels, automate replies using AI-generated responses, and track conversations from a unified dashboard.

Key capabilities include:

• Website chat and customer conversation management
• WhatsApp Business API inbox management
• AI-powered automated response generation
• Multi-agent team collaboration on conversations
• Customer inquiry and conversation tracking
• Message template management and messaging

We reserve the right to modify, update, or discontinue features of the Service at any time. We will provide reasonable advance notice for significant changes that affect paid plan functionality.

3. WhatsApp API usage

Marshanam integrates with services provided through the WhatsApp Business Platform by Meta Platforms, Inc. By using the WhatsApp features of the Service, you agree to the following:

• Marshanam is an independent third-party software service and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or WhatsApp LLC.
• You must comply with Meta's WhatsApp Business Policy and Terms of Service at all times.
• You are responsible for obtaining valid opt-in consent from your customers before messaging them on WhatsApp.
• You must not use the WhatsApp integration to send spam, unsolicited messages, or content that violates Meta's policies.
• You are responsible for the content of all messages sent through your connected WhatsApp Business Account.
• WhatsApp Business Platform access is subject to Meta's approval, requirements, availability, and applicable rate limits.
• Message template usage must comply with WhatsApp's template approval process. We do not guarantee template approvals.

4. Account registration

To access the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it updated
• Keep your login credentials confidential and not share them with unauthorised individuals
• Notify us immediately at marshanam.voidek@gmail.com if you suspect any unauthorised access to your account
• Accept full responsibility for all activity that occurs under your account
• Not create accounts using automated methods or for the purpose of abuse

We reserve the right to suspend or terminate accounts containing false information or that violate these Terms.

5. Acceptable use

You agree to use the Service only for lawful business purposes in accordance with these Terms. You must not:

• Use the Service to send spam, phishing messages, or any unsolicited commercial communication
• Use the WhatsApp integration to send content that is illegal, abusive, harassing, defamatory, or fraudulent
• Attempt to reverse-engineer, decompile, or extract the source code of the Service
• Attempt to gain unauthorised access to any part of the Service, our servers, or other users' accounts
• Use the Service to scrape, harvest, or systematically collect data without our written permission
• Upload or transmit viruses, malware, or other harmful code
• Impersonate any person, entity, or brand through the Service
• Violate any applicable local, national, or international law or regulation
• Resell or sublicense access to the Service without our prior written consent

6. Subscriptions & billing

Marshanam offers the following plans (pricing subject to change with notice):

• Free Trial — ₹0 / 14 days: Full platform access for 14 days, no credit card required.
• Pro — ₹6,999/quarterly: Complete access to all features. GST applicable. Cancel anytime.

By subscribing to a paid plan, you agree to the following billing terms:

• Billing cycle: Subscriptions are billed in advance, quarterly or annually depending on your selected cycle.
• Refunds: No charges are made during the 14 days free trial. After conversion to a paid plan, subscription fees are non-refundable except where required by applicable Indian consumer protection law or at our sole discretion.
• Price changes: We will provide at least 30 days written notice before changing subscription prices. Continued use after the effective date constitutes acceptance.
• Taxes: Displayed prices are exclusive of GST and other applicable taxes, which will be added at checkout.
• Failed payments: If a payment fails, we will retry for up to 7 days before suspending access to paid features.

7. Intellectual property

The Service, including its software, designs, UI elements, text, graphics, logos, configurations, workflows, and underlying technology, is owned by or licensed to Marshanam Pvt. Ltd. and is protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes only. This licence does not include the right to:

• Copy, modify, or create derivative works of the Service
• Distribute, sell, or sublicense access to the Service
• Use the Marshanam name, logo, or branding without our written permission
• Remove or obscure any proprietary notices within the Service

8. User & customer content

By using the Service, you grant Marshanam Pvt. Ltd. a limited, non-exclusive, worldwide, royalty-free licence to store, host, and process User Content solely as necessary to deliver the Service to you. We do not use your customers' data for our own commercial purposes.

If you use website chat or other customer-facing features of the Service, you are responsible for providing appropriate privacy notices and obtaining any consent or other lawful basis required for collecting and processing visitor information, including names, email addresses, telephone numbers, IP addresses, and conversation data.

You represent and warrant that:

• You have all necessary rights and permissions to submit User Content through the Service
• User Content does not infringe any third-party intellectual property rights
• User Content complies with applicable law and Meta's WhatsApp Business Policy

We reserve the right to remove User Content that violates these Terms or applicable law, and to cooperate with lawful requests from authorities.

9. AI-generated responses

Marshanam may provide AI-powered features that generate suggested or automated responses based on information processed through the Service.

• AI-generated responses may be inaccurate, incomplete, outdated, or inappropriate for a particular situation.
• You are responsible for determining whether AI-generated content is appropriate for your use case and for configuring any automated responses accordingly.
• You remain responsible for all messages sent through your account, whether created manually, automatically, or with the assistance of AI.
• We do not guarantee that AI-generated responses will produce any particular business, sales, customer-service, or operational result.

10. Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent or unlawful activity, create a security risk, fail to pay applicable fees, or where continued access could reasonably expose us or other users to risk. Where reasonably practicable, we will provide notice and an opportunity to remediate the issue before termination.

You may close your account at any time by going to your account settings or by emailing marshanam.voidek@gmail.com. Upon closure, your access to the Service ends immediately. Data will be handled per our Privacy Policy.

Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will survive the end of these Terms.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:

• The Service will be uninterrupted, error-free, or free from security vulnerabilities
• AI-generated responses will be accurate, complete, or suitable for your specific use case
• WhatsApp message delivery will be guaranteed (delivery is subject to Meta's infrastructure and the recipient's device)
• The Service will meet all of your specific business requirements

You are responsible for the use of AI-generated messages, including messages that are automatically sent through features you enable or configure.

12. Limitation of liability

To the maximum extent permitted by applicable Indian law, Marshanam Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to loss of revenue, loss of data, loss of customer relationships, or WhatsApp account suspension by Meta.

Our total aggregate liability to you for any claim arising from these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to Marshanam in the 3 months preceding the claim, or (b) ₹6,999.

13. Governing law & disputes

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved within 30 days of written notice, it shall be subject to the exclusive jurisdiction of the competent courts in Gujarat, India. Nothing in this clause prevents either party from seeking urgent injunctive relief.

14. Changes to terms

We reserve the right to modify these Terms at any time. For material changes, we will notify you via email and/or a prominent notice within the Marshanam dashboard at least 14 days before the changes take effect. For minor changes (such as clarifications or corrections), we may update the "Last updated" date without individual notice.

Continued use of the Service after the effective date of revised Terms constitutes your acceptance of those Terms. If you do not agree, you must stop using the Service before the effective date.
